Terms of Service

1. About Kyo

Kyo is provided by Kyo Ltd., a company registered in England and Wales (company registration details available upon request), with a registered address at:

Kyo is an agency operating system designed to help creative and digital agencies manage their CRM, projects, tasks, team, and finances — all in one workspace.

2. Eligibility

You must be at least 18 years of age to use Kyo. By using the Service, you represent and warrant that you meet this age requirement.

If you are using Kyo on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3. Account Registration and Security

You may register using third-party authentication services (such as Google). When you do so, you authorise Kyo to access certain information from that service as described in our Privacy Policy. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

4. Plans and Subscriptions

Free Plan

Kyo offers a Free plan that does not expire and does not require a payment method. The Free plan includes every Kyo feature, subject to the usage limits described on our pricing page at trykyo.com/pricing. To exceed those limits, you will need to subscribe to a paid plan.

Paid Plans

Current plans, prices, usage limits and included features are described on our pricing page at trykyo.com/pricing. Every feature of the Service is available on every plan; plans differ in the usage limits that apply and the level of support provided. Paid plans may be billed monthly or annually, at the interval you select at checkout. Payment is processed through Stripe. By subscribing to a paid plan, you authorise Kyo to charge your payment method on a recurring basis at your selected interval until you cancel.

Usage Limits

Each plan is subject to limits on the number of seats, projects, deals and client spaces in your workspace, as set out on our pricing page. Where you reach a limit, you may need to upgrade to a plan with a higher limit in order to add more. Kyo may change these limits from time to time in accordance with Section 14.

Organisation and Authorised Users

Each Kyo subscription is licensed to a single legal entity ("Organisation"). "Authorised Users" means employees, contractors, and agents of the Organisation who are authorised to use the Service. You may not resell, sublicense, or otherwise make the Service available to any third party. The Service is licensed solely for use by your Organisation and its Authorised Users for your Organisation's internal business purposes.

5. Your Content and Intellectual Property

Ownership

You retain full ownership of all content you upload, create, or share through Kyo, including files, documents, data, comments, and other materials (collectively, "Your Content").

Licence to Kyo

To operate the Service, you grant Kyo a limited, worldwide, non-exclusive, royalty-free licence to host, store, display, and transmit Your Content solely for the purpose of providing the Service to you and your collaborators. Kyo will not use Your Content for marketing, advertising, or any purpose beyond providing the Service to you.

Responsibility

You are solely responsible for Your Content. You represent and warrant that you own or have the necessary rights to Your Content, and that Your Content does not violate any third-party rights or applicable laws.

6. Kyo's Intellectual Property Rights

Ownership of Kyo

All rights, title, and interest in and to the Kyo Service — including the software, platform, algorithms, features, user interface, branding, trademarks, and documentation — are owned exclusively by Kyo Ltd. and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited Licence to Use Kyo

Subject to your compliance with these Terms, Kyo grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes only. This licence does not grant you any rights to copy, modify, distribute, reverse engineer, or create derivative works based on Kyo.

Feedback

If you provide Kyo with feedback, suggestions, or ideas about the Service, you grant Kyo a perpetual, worldwide, royalty-free licence to use and incorporate that feedback into Kyo's products and services without any obligation to you.

7. AI Processing and Third-Party Services

AI Features

Kyo offers AI-powered features through Kyoshi, your team's AI agent. When you use these features, your workspace data may be processed by third-party AI providers (Anthropic, OpenAI) solely to generate responses, summaries, and insights for your use. Your data is not used to train AI models.

Third-Party Services

Kyo integrates with the following third-party services:

• Supabase — Database and authentication
• Stripe — Payment processing
• Vercel — Hosting infrastructure
• Anthropic / OpenAI — AI processing for Kyoshi

Your use of Kyo may be subject to the terms of service and privacy policies of these third-party providers. Kyo is not responsible for the practices or performance of third-party services.

8. Analytics and Tracking

Kyo uses analytics and tracking technologies to improve the Service and understand how users interact with our platform. These services collect information such as your IP address, browser type, device information, pages visited, and features used.

By using Kyo, you consent to this tracking as a necessary part of operating and improving the Service. Analytics data is used solely to enhance Kyo's product and user experience and is not sold to third parties. For more information, please see our Privacy Policy.

9. Acceptable Use and Prohibited Activities

You agree not to use Kyo to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, share, or transmit illegal, harmful, or objectionable content
• Infringe upon intellectual property rights
• Use automated systems to access the Service without authorisation
• Attempt to gain unauthorised access to Kyo's systems or user accounts
• Interfere with or disrupt the Service
• Reverse engineer or attempt to extract source code from Kyo
• Impersonate any person or entity
• Resell, sublicense, or provide access to the Service to third parties outside your Organisation

Kyo reserves the right to investigate and take appropriate action against anyone who violates these Terms, including suspending or terminating accounts.

10. Termination and Account Deletion

Termination by You

You may delete your Kyo account at any time through your account settings or by contacting us at hello@trykyo.com.

Termination by Kyo

Kyo reserves the right to suspend or terminate your account if you violate these Terms or engage in conduct harmful to the Service or other users. Where possible, we will provide notice before termination.

Data Retention After Termination

Upon account deletion or termination, your data will be retained for 30 days before permanent deletion. During this period, you may contact us to request account restoration. After 30 days, Your Content and account data will be permanently deleted, except where retention is required by law.

11. Payment Terms and Refunds

Billing

Depending on the plan you select, Kyo subscriptions are billed either per seat or at a flat rate per workspace, at the monthly or annual interval chosen at checkout. Subscriptions automatically renew at the end of each billing cycle unless cancelled. On per-seat plans, the amount billed is based on the number of Authorised Users in your workspace, and changing that number will change the amount billed. You will be charged on the renewal date using your payment method on file. All prices are in the currency specified at checkout.

AI and Usage Credits

Certain features, including AI features and competitor monitoring, are billed from a prepaid credit balance held in your workspace. This balance is separate from, and additional to, any plan subscription. Credits are consumed according to your actual usage of the underlying third-party providers described in Section 7. Credits are purchased through Stripe, and where an administrator of your Organisation has enabled automatic top-up, you authorise Kyo to purchase further credits using your payment method on file when your balance falls below the threshold configured in your workspace. Some plans include a monthly credit allowance, as described on our pricing page.

Cancellation

You may cancel your Kyo subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access to Kyo features until that date.

Refund Policy

Kyo offers a 30-day refund policy for plan subscriptions. If you are not satisfied within 30 days of your initial purchase or renewal, contact us at hello@trykyo.com to request a full refund of that subscription charge. After 30 days, no refunds will be provided.

AI and usage credits are non-refundable. Credits are consumed against usage of third-party providers that Kyo pays for on your behalf, so all credit purchases, including automatic top-ups, are final once made. No refund or cash value is provided for an unused credit balance, including on cancellation or account termination. The 30-day refund policy above applies to plan subscription charges only.

12. Disclaimers and Limitation of Liability

No Warranties

Kyo is provided "as is" and "as available" without warranties of any kind. Kyo does not warrant that the Service will be uninterrupted, secure, or error-free.

Limitation of Liability

To the fullest extent permitted by law, Kyo, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Kyo's total liability shall not exceed the amount you paid to Kyo in the 12 months preceding the claim, or £100, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kyo and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, or expenses arising out of or related to your use of the Service, Your Content, or your violation of these Terms.

14. Changes to Terms

Kyo reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of Kyo after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict of law principles.
